
PT GoTo Gojek Tokopedia Tbk (GOTO) berencana melakukan penambahan modal tanpa hak memesan efek terlebih dahulu (PMTHMETD) atau private placement.
“Perseroan akan terus menyeimbangkan pertumbuhan bisnis dengan manajemen biaya yang disiplin dan tetap berada di jalur yang tepat untuk mencapai target EBITDA yang disesuaikan breakeven untuk keseluruhan tahun 2024,” tegasnya, seperti dikutip Senin (2/9/2024).
Direktur Utama GoTo Patrick Walujo menyampaikan bahwa perseroan akan terus fokus memberikan nilai tambah bagi para pemegang saham dengan memperluas jangkauan ke lebih banyak konsumen.
Corporate Secretary GoTo, Koesoemohadiani mengatakan, wacana private placement diajukan setiap tahun demi mendapatkan persetujuan agar perseroan memiliki fleksibilitas menghimpun pendanaan sejalan dengan kebutuhan, jika penghimpunan dana memang diperlukan.
“Rencana itu diajukan agar perseroan memiliki fleksibilitas bila terdapat kebutuhan penghimpunan pendanaan untuk mendukung peluang pertumbuhan atau dalam menghadapi ketidakpastian kondisi makroekonomi,” kata Koesoemohadiani.
Hingga bulan Juni 2024, GoTo memiliki kas dan setara kas sebesar Rp 23,08 triliun dengan jumlah ekuitas mencapai Rp 33,52 triliun.
Sesuai regulasi POJK Nomor 22 tahun 2021, private placement wajib memperoleh persetujuan RUPS dan khusus bagi emiten dengan saham suara multipel (multiple voting share/MVS, seri B), PMTHMETD bisa dilakukan 1 tahun sejak RUPS.
Artinya, emiten di Bursa Efek Indonesia (BEI) seperti GOTO dan lainnya perlu terus meminta persetujuan RUPS. Hal ini berbeda dengan bursa luar negeri, salah satunya yang diterapkan OJK-nya Amerika Serikat (AS), Securities and Exchange Commission (SEC).
Sejak 6 tahun lalu, SEC mengubah aturan di Bursa Nasdaq dan New York Stock Exchange (NYSE) soal persetujuan RUPS perlu jika penerbitan saham baru besarannya 20% atau lebih.
